The PARTNER shall grant a sub-license to the Client with respect to the operation of the DRANCO process. The PARTNER shall not grant such sub-license without the prior written consent of OWS, which shall be granted by OWS so long as said sub-license contains at least the essential contractual provisions listed in wording acceptable to OWS:
-provisions with respect to the confidentiality of the Know-how;
-provisions with respect to the use of the sub-license beyond the specific waste treatment facility which is the subject of the sublicense;
-provisions with respect to the non-assignability of the sub-license; and
-provisions with respect to the disclosure of any improvements to the Know-how which are developed by the Client.
The PARTNER shall establish, and cause its customer to establish, in all publicity and publications that the PARTNER and the Client, as the case may be, are the licensees (or sub-licensees) of OWS with respect to the DRANCO process.
