5. It is the intention of the parties that the matters in this MOU will form the basis of more formal agreements(s) between the parties hereto and, except in respect of the other party’s proprietary rights and confidential information, neither party shall have any legal obligation to the other party concerning the subject matter hereof unless and until both parties have executed definitive legal agreements containing mutually satisfactory terms and conditions. This MOU does not bind either party to enter into a formal agreement and neither party shall have any liability to the other for a failure to conclude a formal agreement. By signing below, the parties agree that the foregoing is consistent with their understanding of the basic terms as set forth herein.
